Setting Up a Texas S Corporation

One kit uses a Texas LLC as the “platform” for an S corporation. (This is the recommended approach since LLCs are easier to operate and with an LLC you can delay the effective date of the S election rather than being basically forced to make the S election at the point of formation.) One kit uses a Texas corporation as the “platform” for an S corporation.

Note: The “LLC flavor” of the Texas S Corporation kit comes with a boilerplate LLC operating agreement which you’ll use as the governing document for your LLC/S corporation. The “corporation flavor” of the Texas S Corporation kit comes wtih boilerplate corporate by-laws which you’ll use as the governing document for your corporation.

Note: An S corporation isn’t necessarily a corporation. An S corporation is an “eligible entity” like a corporation or a limited liability company that makes an election to use the tax accounting rules contained in Subchapter S of the Internal Revenue Code. People pretty much call all entities which use these “Subchapter S” tax accounting rules “S corporations” because back when this chunk of law was created–Dwight D Eisenhower was president–only corporations elected to use the rules.
